CONDITIONS

Effective Date: October 13, 2026
Last Updated: October 13, 2026

1. Acceptance of Terms

Welcome to American Branding Studio (“Company,” “we,” “us,” or “our”). These Terms and Conditions govern your access to our website, communications with our team, and purchase or use of our services.

By placing an order, paying an invoice, approving a proposal, or using our services, you (“Client,” “you,” or “your”) agree to these Terms and Conditions and any applicable project proposal, invoice, or service agreement.

If you do not agree to these terms, you must not purchase or use our services.

2. Services Provided

American Branding Studio provides digital, creative, and business solutions, including:

  • Website design and development
  • Logo design and complete branding
  • Graphic design and marketing materials
  • Digital marketing and search engine optimization (SEO)
  • Social media marketing and management
  • Mobile application development
  • E-commerce development
  • Animation and motion graphics
  • Website maintenance and technical support
  • Domain, hosting, server, and CRM solutions
  • Business automation and related digital services

The specific deliverables, features, pricing, revisions, and deadlines will be determined by the approved proposal, invoice, or written agreement.

The Company reserves the right to decline requests that fall outside its capabilities, violate applicable laws, or conflict with its policies.

3. Orders, Proposals, and Project Scope

A project becomes authorized when the Client accepts a proposal, approves an order, makes the required payment, or otherwise confirms the engagement in writing.

The Client is responsible for reviewing all proposals and invoices before approval. Any service, feature, deliverable, or revision not expressly included in the approved scope will be considered additional work.

The Company may charge additional fees for changes in requirements, new features, additional pages, integrations, content creation, or other work beyond the original scope.

Verbal discussions do not amend an existing written agreement unless confirmed in writing by an authorized Company representative.

4. Payments and Fees

All payments must be made according to the payment schedule specified in the approved proposal or invoice.

Advance payments: The Company may require an upfront deposit or full payment before beginning work.

Milestone payments: The Client must pay each installment by its specified due date.

Outstanding balances: All amounts due must be paid before final delivery, transfer of ownership, release of source files, website handover, or other agreed final deliverables, unless otherwise agreed in writing.

Additional services: Work outside the approved scope will be charged separately.

Third-party costs: Domain registration, hosting, software licenses, paid plugins, advertising spend, stock assets, and other external charges are payable as agreed.

Taxes: Applicable taxes will be charged where required by law.

The Company may pause work, withhold undelivered materials, or suspend services for overdue payments after any notice required by law or the applicable agreement.

5. Deposits, Refunds, and Cancellations

To the extent permitted by applicable law, deposits and payments allocated to work already performed, resources committed, or costs incurred are non-refundable.

Because our services frequently involve customized work, refund eligibility will depend on the service agreement, the stage of completion, expenses already incurred, and applicable law.

If the Client cancels a project:

The Client must submit the cancellation request in writing.

The Client remains responsible for authorized work completed and approved expenses incurred up to the effective cancellation date.

The Company may deduct applicable completed-work fees and non-recoverable costs from any amount otherwise eligible for refund.

Any remaining eligible refund will be assessed under the project agreement and applicable law.

Third-party charges may be non-refundable under the relevant provider's policies. The Company cannot promise a refund of charges that a third-party provider refuses to return.

Nothing in this section removes a refund right or other remedy that the law requires the Company to provide.

6. Late Payments and Non-Payment

Invoices must be paid by the due date stated on the invoice.

If payment is overdue, the Company may, subject to applicable law and any required notice:

Pause project work and delivery schedules.

Suspend maintenance, support, or other recurring services.

Withhold final deliverables and transfer of project assets.

Charge lawful late fees or interest if disclosed in the applicable agreement.

Seek recovery of outstanding amounts and reasonable collection costs where legally recoverable.

Project deadlines may be extended by the length of any payment-related suspension and the reasonable time needed to resume work.

The Company is not responsible for delays or losses caused by a suspension that results from the Client's breach of the payment terms.

7. Client Responsibilities

The Client agrees to:

Provide accurate and complete project information.

Supply all required text, images, logos, credentials, and other materials on time.

Ensure that all supplied materials are legally authorized for use.

Review deliverables and provide consolidated feedback within the agreed timeframe.

Obtain any necessary permissions, licenses, and approvals.

Maintain secure access to accounts owned by the Client.

Make decisions and payments necessary to keep the project moving.

The Company is not responsible for delays caused by incomplete information, late feedback, unavailable account access, or other matters under the Client's control.

Where the Client fails to provide required materials or feedback, the Company may revise the delivery schedule accordingly.

8. Revisions and Scope Changes

Only the number and type of revisions expressly included in the approved package or proposal are covered by the quoted price.

A revision means a reasonable adjustment to an existing agreed concept or deliverable. A new concept, substantial redesign, additional page, new functionality, or change to previously approved work may be treated as additional work.

Additional work may require extra payment and a revised timeline. The Company will communicate applicable additional charges for approval before proceeding.

Client approval of a design, milestone, or deliverable confirms acceptance of that stage, subject to any express contractual terms and rights that cannot legally be waived.

9. Project Delays and Abandoned Projects

The Company will make reasonable efforts to meet agreed delivery estimates, but timelines are estimates unless a deadline is expressly guaranteed in writing.

If the Client does not respond, provide necessary materials, approve work, or make required payments for an extended period, the Company may place the project on hold after reasonable notice.

If the project remains inactive for 30 consecutive days because of the Client, the Company may classify it as inactive and require a revised schedule, updated quotation, or reactivation fee before resuming work, where permitted by the original agreement and applicable law.

After 90 consecutive days of inactivity, the Company may close the project after providing written notice. Amounts due for work already performed and authorized costs remain payable. Any treatment of unused prepaid amounts will be governed by the agreement and applicable law.

  • 10. Intellectual Property and Ownership

Unless otherwise agreed in writing, the Company retains ownership of its pre-existing materials, reusable templates, internal tools, source frameworks, methods, processes, and know-how.

Subject to full payment of all amounts due, ownership of the final custom deliverables will transfer to the Client only to the extent expressly provided in the approved agreement and permitted by applicable law.

Until the required payment is received, the Client may not use, publish, distribute, resell, or commercially exploit unpaid deliverables without the Company's written permission.

Third-party materials, including fonts, images, plugins, software, and stock assets, remain subject to their original licenses and may not be transferable to the Client.

The Company may retain copies of project materials for recordkeeping, legal compliance, and dispute resolution.

  • 11. Portfolio and Promotional Rights

Unless the Client and Company agree otherwise in writing, the Company may display completed work, publicly available project screenshots, and non-confidential deliverables in its portfolio, website, presentations, and marketing materials.

The Company will not knowingly disclose the Client's confidential information through such displays. A Client who requires confidentiality or a private, unpublicized project must obtain written confirmation of those restrictions before work begins.

  • 12. Website Hosting, Domains, Servers, and Maintenance

Domain registrations, hosting, servers, email services, maintenance, and software subscriptions may be supplied directly by the Company or by third-party providers.

Unless expressly included in writing, these services are not part of a website design fee and may require separate recurring payments.

The Client is responsible for renewal charges and for maintaining payment methods and account information required by relevant providers.

The Company is not responsible for service interruptions, account suspensions, domain expiration, data loss, or provider changes caused by third parties or by the Client's failure to renew or maintain an account.

Where backups or recovery services are included, their scope and frequency will be specified in the applicable agreement. The Client should maintain independent backups of important business data.

  • 13. Digital Marketing and No Guarantee of Results

The Company may provide SEO, paid advertising, social media management, branding, and other marketing services. These services involve factors outside the Company's control.

Unless a specific written guarantee expressly states otherwise, the Company does not guarantee:

Specific search engine rankings or placement.

A particular number of visitors, leads, or sales.

Revenue, profit, or return on advertising spend.

Approval by advertising networks or online platforms.

A specific number of followers, impressions, or engagements.

Results depend on factors such as competition, budget, market demand, website quality, platform algorithms, and Client cooperation.

The Client remains responsible for approving campaign budgets and providing accurate claims, product details, and business information.

  • 14. Third-Party Platforms and Integrations

Our services may rely on third-party providers, including hosting companies, payment processors, social media networks, advertising platforms, app stores, and software vendors.

The Company does not control these providers and cannot guarantee their uninterrupted availability, pricing, security, approval decisions, or continued compatibility.

Additional third-party terms and fees may apply. The Client is responsible for complying with applicable third-party policies and maintaining any required subscriptions or accounts.

  • 15. Client Content and Indemnification

The Client represents that it has the necessary rights, permissions, and legal authority to provide all materials, instructions, claims, and content supplied to the Company.

To the extent permitted by law, the Client agrees to defend and indemnify the Company against third-party claims, losses, liabilities, and reasonable legal expenses arising from:

Content or materials supplied by the Client that infringe another party's rights.

The Client's unlawful use of deliverables.

False, misleading, or unauthorized claims supplied or approved by the Client.

The Client's material breach of these Terms or applicable law.

This obligation does not apply to the extent a claim is caused by the Company's own conduct for which the Company is legally responsible. The Company will provide reasonable notice of a covered claim and allow the Client a reasonable opportunity to participate in its defense.

  • 16. Confidentiality and Privacy

Each party must take reasonable care to protect confidential information received from the other party and use it only for purposes related to the business relationship, subject to applicable law.

This obligation does not apply to information that is publicly available through no breach, already lawfully known, independently developed, or lawfully received from another source.

Personal information collected through our website or services will be handled in accordance with our Privacy Policy and applicable privacy laws.

Clients should use secure methods to share passwords and sensitive information and should not send full payment-card details through ordinary email or chat.

  • 17. Suspension and Termination

The Company may suspend or terminate services where the Client materially breaches these Terms, fails to pay amounts due, requests unlawful activity, or creates a material security or legal risk.

Where reasonably practicable, the Company will provide notice and an opportunity to remedy the breach before termination, except where immediate action is necessary or legally permitted.

Upon termination, the Client must pay outstanding amounts for authorized work completed and recoverable expenses incurred, subject to applicable law and the project agreement.

Any transfer of paid deliverables will be handled according to the applicable ownership and payment provisions.

  • 18. Disclaimer of Warranties

The Company will perform its services with reasonable care and skill.

Except for commitments expressly stated in a written agreement and warranties that cannot legally be excluded, services and deliverables are provided without a guarantee that they will be uninterrupted, error-free, or compatible with every third-party system or future software update.

The Company does not guarantee that a website, application, or marketing campaign will meet the Client's commercial expectations or achieve a particular business outcome.

Nothing in this section excludes any non-waivable legal warranty or consumer protection.

  • 19. Limitation of Liability

To the maximum extent permitted by applicable law, the Company will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, including loss of profits, revenue, anticipated savings, business opportunities, goodwill, or data.

To the maximum extent permitted by law, the Company's total aggregate liability arising from a particular project or service will not exceed the fees actually paid to the Company for the specific project or service giving rise to the claim during the three months preceding the event giving rise to the claim. If applicable law does not permit this limit, liability will be limited to the maximum amount legally permitted.

These limitations do not apply to liability that cannot lawfully be excluded or limited.

  • 20. Force Majeure

The Company will not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, power or internet outages, cyberattacks, labor disruptions, government actions, war, public emergencies, or third-party platform failures.

The Company will make reasonable efforts to resume affected services when circumstances permit. Payment obligations for services already provided are not automatically cancelled by such events.

  • 21. Changes to These Terms

The Company may update these Terms and Conditions by publishing a revised version on its website.

Updated terms will generally apply to future orders and services. Changes to an existing project agreement will apply only as permitted by that agreement and applicable law.

Clients should review this page periodically for updates.

  • 22. Governing Law and Dispute Resolution

These Terms will be governed by the laws of [Insert Applicable U.S. State], subject to any mandatory legal protections that apply.

The parties agree to attempt to resolve disputes through good-faith written communication before commencing formal proceedings, unless urgent legal relief is necessary.

Any venue, arbitration requirement, or other dispute-resolution procedure must be expressly agreed where required and must comply with applicable law.

  • 23. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

These Terms, together with the applicable approved proposal, invoice, and written service agreement, form the agreement governing the relevant services. If a specific written project agreement conflicts with these Terms, the specific agreement will control for that project to the extent of the conflict.

A failure to enforce a provision does not constitute a permanent waiver of that provision.
